1. Acceptance of these terms

These Terms & Conditions (“Terms”) govern your use of the website dizibell.com and the DiziBell campus management platform, including its web portals and mobile apps (together, the “Service”), operated by Digizion (“we”, “us”, “our”).

By using the Service you agree to these Terms and to our Privacy Policy. If you use the Service on behalf of a school, college or other organisation, you confirm you are authorised to accept these Terms for it. If you do not agree, do not use the Service.

2. Definitions

• Institution — the school, college, group or trust that subscribes to the Service.
• Authorised Users — people the Institution allows to use the Service, such as administrators, staff, teachers, students and parents.
• Institution Data — all data entered into or uploaded to the Service by or for the Institution and its Authorised Users.
• Order — the quotation, proposal, order form or agreement setting out the modules, term and fees for an Institution.

3. Using this website

The website describes the Service for general information. Features, screenshots and descriptions may change and do not form part of an Order unless written into it. You may not misuse the website — for example by attempting to gain unauthorised access, interfering with its operation or submitting false enquiries.

4. Accounts and access

• The Institution creates and manages Authorised Users and assigns their roles and permissions.
• Users must keep their credentials and OTPs confidential and must not share accounts. The Institution is responsible for activity under its users’ accounts.
• Tell us promptly at hello@dizibell.com if you suspect unauthorised access.
• We may suspend an account that we reasonably believe is compromised or used in breach of these Terms.

5. Subscription, fees and payment

• Fees, billing cycle and subscription term are set out in the Order.
• Fees are exclusive of GST and other applicable taxes, which are payable in addition.
• Invoices are payable by the due date stated on them. Fees paid are non-refundable except as the Order states.
• If payment is overdue, we may, after giving written notice, suspend access until it is received. Institution Data is not deleted because of a suspension.
• Fees that parents pay to the Institution through the Service belong to the Institution and are settled by the payment gateway directly to it. We are not a party to those payments.

6. Institution Data

The Institution owns its Institution Data. We process it only to provide, support and secure the Service, on the Institution’s instructions and as described in the Privacy Policy.

The Institution is responsible for the accuracy and lawfulness of its data, and for obtaining any notices and consents required — including verifiable parental consent for children’s data under the Digital Personal Data Protection Act, 2023.

7. Acceptable use

You must not, and must not allow anyone to:

• use the Service for anything unlawful, harmful, fraudulent or misleading;
• upload malware, or content that is obscene, defamatory or infringes anyone’s rights;
• send spam or unsolicited messages through the Service’s SMS, email or app channels;
• attempt to access data of another Institution or bypass security or access controls;
• copy, resell, reverse engineer or build a competing product from the Service; or
• overload the Service or use automated means to scrape it.

8. Intellectual property

The Service, its software, design, the DiziBell name and logo, and all related intellectual property belong to Digizion or its licensors. The Institution receives a limited, non-exclusive, non-transferable right to use the Service for its own educational and administrative purposes during the subscription term. Feedback you give us may be used to improve the Service without obligation to you.

9. Third-party services

The Service works with third-party services such as payment gateways, SMS and messaging providers and app stores. Their use is subject to their own terms, and we are not responsible for their availability or acts. Charges for SMS or messaging beyond the Order are billed as agreed.

10. Availability and support

We use reasonable efforts to keep the Service available and secure, with planned maintenance scheduled where possible outside school hours. Support is provided through the channels and hours stated in the Order or on the website. Service levels, if any, are those written into the Order.

11. Confidentiality

Each party will keep the other’s confidential information secret and use it only for the purposes of the relationship, except where disclosure is required by law. This does not apply to information that is public or was lawfully known to the recipient.

12. Term and termination

• The subscription runs for the term in the Order and renews as stated there.
• Either party may terminate for a material breach not remedied within 30 days of written notice.
• On termination, the Institution may export its data within 30 days. After that we may delete Institution Data, except where the law requires us to keep it.
• Sections that by their nature should survive — such as fees owed, confidentiality and liability — survive termination.

13. Disclaimer

Except as expressly stated in the Order, the Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including fitness for a particular purpose. The Institution is responsible for checking results the Service produces — such as fee calculations, marks, report cards and payroll — before relying on them.

14. Limitation of liability

To the extent permitted by law, we are not liable for any indirect, incidental, special or consequential loss, or for loss of profits, revenue or data arising from use of the Service. Our total liability for any claim is limited to the fees the Institution paid us for the Service in the 12 months before the event giving rise to the claim.

15. Indemnity

The Institution will indemnify Digizion against third-party claims arising from Institution Data, from its or its Authorised Users’ breach of these Terms, or from its violation of applicable law.

16. Governing law and disputes

These Terms are governed by the laws of India. The parties will first try to resolve any dispute by good-faith discussion. Failing that, the courts having jurisdiction over the registered office of Digizion will have exclusive jurisdiction.

17. General

• If an Order conflicts with these Terms, the Order prevails for that Institution.
• We may update these Terms; the date at the top shows the latest version. Continued use after an update means you accept it. Significant changes will be notified to Institutions.
• If any provision is found unenforceable, the rest remain in effect.
• Neither party is liable for delays caused by events beyond its reasonable control.
